Terms of Service

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

LegalScribe is an informational technology tool. It is NOT a law firm, is NOT a substitute for an attorney, and does NOT provide legal advice, legal opinions, or legal representation. Using the Service does not create an attorney-client relationship between you and SovrinTech, and no communication through the Service is protected by attorney-client privilege or work-product protection.

Information, summaries, explanations, generated documents, and other outputs are provided for general informational and educational purposes only. Laws vary by jurisdiction and change over time. You should consult a licensed attorney in your jurisdiction before making any decision that has legal consequences.

The Service uses artificial intelligence, which can produce output that is inaccurate, incomplete, outdated, or otherwise unreliable (including “hallucinations”). You are solely responsible for reviewing, verifying, and deciding whether to rely on any output. Do not rely on the Service for:

• Emergency legal situations requiring immediate action
• Criminal defense or matters involving potential loss of liberty
• Court deadlines, statutes of limitation, or time-sensitive filings
• Any situation where reliance on incorrect information could cause serious harm
• Advice on the law of a specific jurisdiction as applied to your specific facts

If you face a legal emergency, seek qualified legal counsel immediately.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Provide accurate information, keep it current, and notify us promptly of any unauthorized use at security@legalscribeai.com. We may refuse, suspend, or reclaim accounts at our discretion.

You agree not to:

• Use the Service for any unlawful, fraudulent, harmful, or infringing purpose
• Upload malware, or content you lack the right to submit
• Upload others' personal or confidential information without a lawful basis
• Reverse-engineer, decompile, scrape, or attempt to derive source code or models, except where such restriction is prohibited by law
• Interfere with, overload, or circumvent security, rate limits, or access controls
• Resell, sublicense, or present outputs as professional legal advice to third parties
• Use the Service to build a competing product or to train a competing model

You retain all ownership of the documents, text, and other materials you submit (“Your Content”). You represent that you have all rights necessary to submit Your Content. You grant SovrinTech a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, secure, and provide the Service to you, and as described in the Privacy Policy. We do not use Your Content to train foundational AI models. This license ends when Your Content is deleted, except for residual backups retained for a limited period and anything we must keep to comply with law.

The Service may offer free and paid tiers with differing limits. Where paid plans are offered, prices, billing periods, and features are presented at the point of purchase, and purchases made through a third-party app store are additionally subject to that store's terms. Unless required by law or expressly stated, fees are non-refundable. We may change plans, features, and pricing prospectively with reasonable notice. Taxes are your responsibility where applicable.

The Service, including its software, design, text, and the LegalScribe and SovrinTech names and logos, is owned by SovrinTech LLC or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. Any feedback you provide may be used by us without obligation to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVRINTECH AND ITS OWNERS, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY DAMAGES ARISING FROM YOUR RELIANCE ON ANY OUTPUT. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NOTHING LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless SovrinTech LLC and its owners and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Texas, United States, and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to the exceptions below, you and SovrinTech agree that any dispute will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Bexar County, Texas, with proceedings that may be conducted remotely.

YOU AND SOVRINTECH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. Either party may bring an individual claim in small-claims court and may seek injunctive relief to protect intellectual-property or confidentiality rights. You may opt out of arbitration by emailing legal@legalscribeai.com within 30 days of first accepting these Terms. Where mandatory local law gives you the right to bring proceedings in your local courts or to local consumer protections, this section does not remove those rights.

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms or to protect the Service or others. We may modify or discontinue the Service or update these Terms; for material changes we will provide reasonable advance notice, and continued use after the effective date constitutes acceptance.

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
